Terms of Use

1. Eligibility and authorized use
You may use the Service only for lawful business, educational, workplace training, or internal operational purposes. You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and internal policies of your organization.
2. Geographic availability
CopilotZone currently provides the Service to customers in the United States only. The Service is not currently offered to customers located in the European Union, European Economic Area, or United Kingdom. If your organization is located outside the United States or requires EU/UK data protection terms, contact CopilotZone before using the Service or submitting personal information.
3. Accounts and account security
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account or the accounts your organization administers.
- You must promptly notify CopilotZone of any suspected unauthorized access, account compromise, or security incident involving your credentials or organizational account.
- CopilotZone may suspend, restrict, or terminate access where necessary to protect the Service, other users, or to comply with legal requirements.
- Session management uses signed cookies, CSRF protection, and rate limiting. You agree not to circumvent or interfere with these security controls.
4. Customer data responsibility and sensitive data restrictions
Your organization remains responsible for all data it submits to the Service, including employee information, learner records, uploaded documents, and administrative decisions regarding training assignments and access controls.
If your organization needs to submit sensitive regulated data — such as PHI, financial data, legal case information, or education records — contact us before doing so. We will work with you to determine whether appropriate agreements and safeguards can be established.
5. Acceptable use restrictions
You may not, and may not permit any third party to:
- use the Service for illegal, infringing, deceptive, or harmful purposes;
- interfere with or disrupt the integrity, security, or performance of the Service;
- attempt to gain unauthorized access to accounts, systems, or data not belonging to you;
- reverse engineer, decompile, disassemble, scrape, or extract source material from the Service except as expressly permitted by applicable law;
- upload malicious code, spam, content that violates the rights of others, or material that contains PHI without appropriate authorization;
- misrepresent your identity, affiliation, or authority when using the Service; or
- circumvent or disable any security, authentication, or access controls.
6. Intellectual property
The Service, including software, interface design, branding, logos, text, graphics, training structures, course content, and related materials provided by CopilotZone, are owned by or licensed to CopilotZone and protected by applicable intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you by implication, estoppel, or otherwise.
Training content created by CopilotZone for general use — such as cybersecurity, compliance, and awareness courses — may be used by your organization for internal employee training on your branded portal only. You may not redistribute, resell, or publicly share CopilotZone training content outside your organization without written permission.
Customer Content you submit for custom course production (documents, policies, procedures, scripts, checklists, or other source material) remains your or your organization's intellectual property. You grant CopilotZone a limited, non-exclusive license to process, convert, narrate, and deliver that content as part of the custom course production service on your branded portal.
7. Feedback
If you submit feedback, suggestions, feature requests, or ideas regarding the Service, CopilotZone may use them without restriction or obligation to you.
8. Third-party services and links
The Service may link to or rely on third-party services, content delivery networks, email infrastructure, analytics tools, hosting providers, AI processing services, or other technology not controlled by CopilotZone. CopilotZone is not responsible for the privacy practices, security, or availability of third-party services.
9. Availability, changes, and support
CopilotZone may modify, update, suspend, or discontinue any part of the Service at any time. We do not guarantee uninterrupted or error-free operation. Planned or emergency maintenance may temporarily affect availability, and we will provide advance notice where reasonably possible.

10. Training content disclaimers
CopilotZone provides training and workflow tools for small businesses. Our training content — including cybersecurity awareness, compliance, and required workplace training — is designed to support employee education and organizational risk reduction.
Important disclaimers:
- CopilotZone training content is not legal advice. Customers are responsible for determining the specific regulatory requirements applicable to their organization, industry, and jurisdiction.
- Completion of training courses does not guarantee compliance with any law, regulation, certification, insurance requirement, or industry standard.
- Training content is periodically updated but may not reflect the most recent regulatory developments, threat intelligence, or industry guidance.
- Organizations with specific compliance obligations — including HIPAA, PCI DSS, SOC 2, ISO 27001, U.S. state privacy laws, or sector-specific requirements — should consult qualified legal, compliance, or security counsel to determine whether CopilotZone's training platform is appropriate for their needs.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. COPILOTZONE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
COPILOTZONE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. NO INFORMATION OR GUIDANCE PROVIDED BY COPILOTZONE — WHETHER ORAL OR WRITTEN — CREATES A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COPILOTZONE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF COPILOTZONE FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNTS PAID BY YOU OR YOUR ORGANIZATION TO COPILOTZONE FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
13. Indemnification
You agree to defend, indemnify, and hold harmless CopilotZone and its affiliates, officers, employees, contractors, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: your use of the Service; your organization's Customer Content or training data; your violation of these Terms; your violation of applicable law; or your violation of the rights of a third party, including any person whose personal information you or your organization submits to the Service without appropriate authorization.
14. Plans, custom course fees, and billing
CopilotZone offers subscription plans with the following general structure:
- Launch ($299/month) — up to 50 learner seats, branded training portal, six ready-made cybersecurity courses, HR dashboard and reporting, automated reminders, certificate tracking, managed hosting, and email support.
- Scale ($599/month) — up to 200 learner seats, white-label platform, priority support, custom domain setup, and eligibility to purchase Custom Course Add-Ons.
- Enterprise (custom pricing) — custom seat capacity, custom course production packages, deep HRIS/SSO integration, dedicated project manager, custom reporting and analytics, SLA support, and monthly strategy check-ins.
Custom Course Add-Ons. Standard custom courses start at $499 per course (up to 25 slides). This fee covers production work including script writing, slide design, audio narration, quiz creation, completion tracking setup, and one included revision round. Courses longer than 25 slides, courses requiring additional production rounds, or courses with special design, legal, compliance, language, or integration requirements may be subject to additional fees quoted in advance.
Course packs and annual credits. CopilotZone may offer course packs, annual course credits, or custom-course fee waivers as part of a written quote or order form. Unless a written quote or order form says otherwise, custom course fees are not included automatically in monthly subscription pricing.
White-label branding. On the Scale and Enterprise plans, customer branding assets (logos, color preferences, custom domains, email templates) are configured by CopilotZone in coordination with the customer. The customer is responsible for ensuring it has the rights to use any branding assets it provides. CopilotZone may display the customer's branded portal to the customer's authorized users only and does not publicly promote or advertise customer branding without permission.
Billing. Subscription fees are billed monthly or annually depending on the customer's election. Custom course fees are billed upon course production kickoff unless waived or bundled in a written quote or order form. All fees are non-refundable except where required by applicable law. Late or failed payments may result in suspension of the Service after reasonable notice.
Plan changes. Customers may upgrade their plan at any time, with prorated billing for the remainder of the current billing period. Downgrades take effect at the end of the current billing period. Enterprise plan terms are set forth in a separate written agreement.
15. Termination
You may stop using the Service at any time. CopilotZone may suspend or terminate your access, or your organization's account, where we reasonably believe there has been a violation of these Terms, a security incident, or activity that threatens the Service or other users.
Upon termination, your organization may request an export of training records and completion data within a reasonable period, subject to technical availability and legal retention requirements. CopilotZone will retain data as described in the Privacy Policy.
16. Governing law and dispute resolution
These Terms are governed by the laws of the United States. Disputes arising out of or relating to these Terms or the Service will be resolved in the courts of the United States.
